[SOLVED]Strange problem with System

Speccs: ASUS P5KPL-CM, 2.5 GHz E5200, 2GB XMS2, builtin video card, 1TB+640GB WD green. Intel PRO 100 LAN (PCI Card) , built-in Atheros doesn't work anymore.

OK so this is the problem. My system hangs and sometimes restart on its own. the problem is not due to windows. cause it did the same while i was in the BIOS menu. When it hangs, if i press reset button or turn off using on/off switch on casing, and restart it/turn back on, it doesn't do POST i.e. nothing on screen. the NUM lock LED on keyboard is on but pressing the button doesn't produce any response. if i take out power cord for few secs./mins. and plug back in, it starts . I was having thins problem severely on Sunday so I thought lets flash BIOS and i did. problem stopped but it occurs. At times it will go on working for 5-6 hrs and times wont for even 10 mins.
I touched the heatsink near SATA ports and it was very hot so i had 80mm fan blowing air on it.
Bear in mind my casing cover isn't closed so shuoldn't e problem of air-flow.
Also i use hardware monitor tool like Hardware Monitor by CPUID it hangs. ~__~
what could be problem? mobo failing?
another weird thing. I swapped RAM slots and it had same problem. but i f i take out RAM slot , it beeps and if i press reset button on casing it still boots, i.e beeps.
i even chaged PSU and it had same problem.
i don't have dedicated video card to do the testing

brother hangs and restart usually occur because of high temps. i suggest you to completely disassamble your pc and then install every thing once again and also remove the processor heatsink, reapply the thermal paste and install heat sink again.and report back

This happens mostly when your rams are causing problems... Take the rams out... clean the pins and install them back then try.

CANT PSU cause this ? if problem persists after following sunny945s and OmMeEs advise then consider checking system with a different one

probably heat issue check the system temperature of processor or try to apply thermal paste on the processor

since u mentioned that this also happens when ur in the bios (that means it will happen irrespective of software), this really points either u have a hardware issue ..... and since it happens randomly i.e. in the bios or after windows etc it points out that most probably its a heating issue. try monitoring ur CPU temps either with the help of some reliable software or from ur bios and see how high do they go.

OK as suggested by members, I took out mobo, cleaned RAM stick and slots. Pushed the jacks/clips of heatsink in opposite direction (opposite to unfasten) to make sure it was probably seated. When i did that , one of the four holders/fasteners kind of tightened. so probably it had gone loose?? don know.
Anyway after that ran system, started HWmonitor, now at this point I should tell you that previous attemps to run such utiliies i.e. CPU-Z, RealTemp , HWmonitor, immediately froze the system.
When I started CPU-Z, it froze at the part where it detects chipset...but this time around they're all running fine it seems. The Temps seems to be fine too...
